1. ACCEPTANCE OF ALTVIDEO TERMS

We appreciate your interest in the Altvideo Promotional Service (hereinafter referred to as “Service”). Your use of the Service is regulated by these Terms of Use. 2. DESCRIPTION OF PROMOTIONAL SERVICE

Altvideo features and pricing are set forth in the package section of our Website and can be changed at any time by Altvideo. To use our Services, the client (“You”) has to provide video footage (the “Content”) to Altvideo to be edited by our Company. You, and not Altvideo, are fully responsible for all Content that you upload, post or otherwise transfer using our Service. By submitting your Content and using our Services, you fully understand and agree that it may be posted on Altvideo Website, YouTube or any other video hosting service, at the sole discretion of Altvideo, unless otherwise stated. Accordingly, you acknowledge that your Content will be available online and that there is no confidentiality, privacy or identifying information included in your Content. You have a full right to prohibit sharing of a particular piece of your Content, and Altvideo will respect and maintain confidentiality for the chosen piece of your Content, but this rule will only apply to that particular piece and not generally to your Content.

3. PROHIBITED CONTENT

By submitting your Content, you agree that:

1. You have all necessary licenses, rights, permissions and agreements to the patent, trademark, copyright or other exclusive rights (“Rights”) to your Content and any other works that you submit as your Content, and you authorize Altvideo to use your Content as described in these Terms of Use;

2. You have written consent, hand receipt and permission of each individual person in your Content to use their name and presence in your Content; and

3. not to include any unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, obscene, pornographic, indecent, libelous, invasive of another’s privacy, hateful, or racially, ethnically or otherwise offensive materials in your Content.

4. SUBMISSION OF YOUR CONTENT TO ALTVIDEO AND INTELLECTUAL PROPERTY

You maintain possession to your Content that you submit to Altvideo in order to receive Services. You hereby grant Altvideo a perpetual, irrevocable, non-limited, transferable, worldwide, uncompensated, voluntary and non-exclusive right to use, copy, distribute, perform, display, modify and create subsidiary works of any Content, in whole or partially, you submit to Altvideo. You hereby represent, warrant and covenant that you have all rights, interest and permissions for the Content you make available to the Services, including, without limitation, text, images, music or video. You must not remove, adjust or conceal any copyright, trademarks, Service marks or other exclusive rights signs or notices incorporated by Altvideo Website and Services provided by Altvideo, except as Altvideo may exclusively permit.

You are not obliged to provide Altvideo with any feedback or suggestions in regards to any Content or Services. Nevertheless, if you do provide Us with comments or suggestions, by this you allow Altvideo to display, perform, copy, sell and otherwise use such comments or suggestions in any manner and through any source, with or without reference to the source of such comments or suggestions.

Certain types of Content may be made accessible through the Services, including edited, modified and summarized videos. You must always take care to preserve the originals of your Content. Besides, you should have no expectation that any edited or summarized videos will always be accessible through the Services, you need to save them as soon as they become available to you through the Service. Do not rely upon the Website as a storage space for Content.

You agree that Altvideo has the right to pre-screen any Content submitted by you, but is not obliged to do so. In Altvideo discretion, your Content may be included in the Promotional Service in whole, in part or in a modified form. Moreover, Altvideo and its representatives have the right, but not obligation to remove any Content that is available on our Website that violates these Terms of Use.

In order to use certain parts of the Services, you will need to provide your personal information. Altvideo will treat and process your personal information exclusively according to this Privacy Policy. You must always provide our Services with the most accurate, complete and current information. As it was stated above, Content that you submit through your account may become public, and you should have no expectation of privacy.

You can download, modify, forward, post, email or distribute in any other way the Content edited by Altvideo, or links to such Content. You are fully responsible to comply with the laws, regulations and rules of third party websites and services in posting such Content or links to such Content. You shall not forward or post any Content or links to Content that violates these Terms. You may not post any Content on third party websites if they contain Content that would violate these Terms of Use. You take full responsibility for the Content that you modify, forward or post, including any third party intellectual property rights or moral rights. Altvideo is not liable for any of your Content modifications. You will fully indemnify Altvideo for any breach of the terms set forth in this paragraph.

You hereby resort to waive any legal or equitable rights you may have against Altvideo with respect thereto, and agree to hold Altvideo, its operators, affiliates or licensors, harmless to the fullest extent allowed by law regarding your use of our Services or Content.

5. INDEMNITY

You agree to indemnify and hold harmless Altvideo, and its contractors, affiliates, officers, agents or other partners and employees, from any claim or demand, including reasonable attorneys’ fees, made by any third party arising out of your use of and access to our Service or violation of these Terms of Use, any rights of another person or entity or your violation of any applicable laws or regulations.

6. ALTVIDEO RESERVATION OF RIGHTS

In addition to other legal remedies available to Altvideo, you acknowledge that Altvideo has the right to remove your Content from the promotional Service or refuse to include your Content in the promotional Service, suspend or terminate your Altvideo account or refuse to grant you access to any Altvideo Service, with or without warning, if you have violated or tried to violate the rights of Altvideo or others; or fail to comply with these Terms of Use.
